(These are draft minutes of our meeting. We expect that the board will approve them at its next meeting.)

The NYCSBUS Board of Directors met on December 10 at 5pm at NYC Public Schools's headquarters at 52 Chambers Street in New York City.

In attendance were Kevin Moran (chair), PV Anantharam, Michael McClenathan and Heather Miller. Member Lori Podvesker was absent. NYC Public Schools staff member Josi Louis was also in attendance, as was NYCSUBS CEO Matt Berlin.

The chair called the meeting to order at 5pm and noted that a quorum was present.

The board tabled approval of its November 13 meeting minutes and etered executive session to discuss employee compensation.

After returning from executive session the board unanimously approved a resolution to adjust CEO compensation to match pay, with retroactivty, that was awarded to a successful manager in accordance with the City of New York’s managerial pay plan.

The meeting was adjourned at 5:30pm.
